The Legal Operations Counsel operates as the senior specialist of this function. The role establishes counterparty legal architecture, governs the structural review surface across institutional engagement, and translates jurisdictional legal realities into operational legal standards governing how Aspera Edge engages institutional counterparties across UK, EU, and APAC jurisdictional structures.

Operate counterparty legal architecture across institutional engagement. Direct structural review across institutional engagement, govern contractual architecture, and translate jurisdictional legal realities into operational legal standards.

The Counsel operates the legal-architectural surface — owning counterparty contracts, structural review across counterparty group structures, and jurisdictional legal interpretation governing how the firm engages institutional counterparties across multi-entity multinational enterprise structures. The role operates against the institutional reality that engagement at this scale is structurally complex — counterparty group structures span multiple legal entities, multiple jurisdictional regimes, and structural arrangements requiring legal architectural review.

Day-to-day, the role coordinates with the General Counsel on legal architectural standards, with the Head of Compliance Operations on regulatory legal interpretation interfaces, with the Head of Institutional Engagement on legal-structural matters during engagement phases, with the Director — Strategic Operations on legal integration into deployment, and with Cross-Jurisdiction Operations Analyst on jurisdictional-structural operational coordination.

The function operates against the structural reality that institutional engagement at this scale depends on legal architectural integrity — counterparty contracts, jurisdictional entity alignment, and structural review discipline are constitutive of how the firm operates within institutional counterparty environments.

  • Operate counterparty legal architecture across institutional engagement, including counterparty contracts, group structural review, and legal-structural governance
  • Direct structural review across engagement phases — entity structural assessment, group architectural analysis, and contractual architectural review
  • Govern contractual architecture across multi-jurisdictional arrangements, including counterparty contracts, contractual architectural standards, and contractual integration into institutional engagement
  • Translate jurisdictional legal realities into operational legal standards — monitoring jurisdictional legal landscape evolution across UK, EU, and APAC and adapting Aspera Edge legal architecture accordingly
  • Coordinate regulatory legal interpretation with the Head of Compliance Operations, including jurisdictional regulatory legal interpretation interfaces and regulatory-legal architectural coordination
  • Operate cross-border legal structural coordination across institutional engagement spanning multiple jurisdictional regimes, including jurisdictional structural alignment and cross-border legal architectural review
  • Handle legal-structural escalation events — counterparty legal incident, cross-border legal review, regulatory legal architectural inquiry — through documented structural review protocols
  • Coordinate legal-structural integration into engagement and deployment phases with the Head of Institutional Engagement and the Director — Strategic Operations

Qualification Threshold 06 of 08
  • 10+ years institutional legal operations at top-tier institutional bank, asset manager, payments institution, or comparable institutional finance environment, with legal architectural specialization
  • Qualified solicitor (England and Wales) or equivalent senior jurisdictional admission required; cross-jurisdictional qualification (US bar admission, EU jurisdictional admission, or APAC jurisdictional admission) preferred
  • Demonstrated legal architectural experience at multi-entity multinational enterprise scale, including counterparty contracts governance and structural review at institutional depth
  • Multi-jurisdictional legal operating experience — UK, EU, and APAC jurisdictional frameworks at structural-review depth rather than research depth
  • Direct experience with contractual architecture at institutional engagement scale, including master agreement architectures and jurisdictional structural arrangements
  • Working fluency with regulatory legal interpretation at the legal-compliance interface, including regulatory-legal architectural coordination
  • Structural review discipline appropriate for institutional legal environments — architectural rigor, jurisdictional analytical depth, structural review documentation discipline
